Cancellation & Refund Policy

1. Scope

This Cancellation & Refund Policy (“Policy”) applies to recurring Nomboo Memberships offered by Strategic Marketing Group, LLC, doing business as Nomboo.

Project deposits, standalone services, advertising spend, printing, postage, hosting, domains, software, and other third-party or project-based charges may be governed by a separate proposal, order form, statement of work, or provider terms.

2. Membership Billing and Automatic Renewal

Memberships are billed in advance at the price and interval shown at enrollment. Unless canceled, the Membership renews automatically and the selected payment method is charged at the beginning of each new billing period.

Renewal price, frequency, included benefits, and available cancellation methods are disclosed before purchase. We may change pricing prospectively by providing the notice required by the Terms or applicable law.

You are responsible for maintaining an accurate payment method and current contact information. Failed or overdue payments may result in suspension of work, access, licenses, benefits, or account features.

3. Membership Upgrades and Downgrades

Membership upgrades may take effect immediately. If an upgrade occurs during an existing billing period, the additional charge may be prorated for the remaining portion of that billing period. The upgraded request allowance, concurrent work capacity, turnaround priority, and other included plan benefits become available when the upgrade takes effect.

Because an upgrade provides immediate access to increased service capacity and priority, an upgraded Membership must remain at the upgraded level through at least one complete billing period charged at the upgraded plan's regular recurring price after any initial partial or prorated billing period.

You may request a downgrade at any time after an upgrade, but the downgrade will not become effective before the end of that first complete billing period at the upgraded plan level. Until the downgrade becomes effective, the Membership remains subject to the benefits, limits, service capacity, and recurring price of the upgraded plan.

The prorated upgrade charge and the charge for the required full upgraded billing period are non-refundable and do not create prorated account credits, even if a downgrade or cancellation is requested before that required period ends, except where required by law or expressly approved by Nomboo in writing.

4. Cancellation Policy

You may request cancellation of your Membership at any time through your account or another cancellation method we clearly provide.

If the Membership is subject to the required full upgraded billing period described in Section 3, cancellation will not become effective until the end of that required period. The Membership remains active through the applicable paid-through date and will not renew after the effective cancellation date.

Requesting cancellation during an upgraded-plan commitment period does not eliminate the required upgraded-plan renewal charge and does not create a refund or prorated account credit for the prorated upgrade charge or the required full upgraded billing period.

During the remaining paid period, you may continue using the Membership subject to the plan’s request capacity, account status, payment status, and other applicable terms. The Membership and its included benefits end at the close of that paid period.

You may reinstate the Membership through your Client Portal before the membership end date. Reinstatement restores automatic renewal using the payment method and billing terms then associated with the account.

5. Failed Payments and Temporary Suspension

If a Membership payment fails, the Membership may be marked Past Due or Payment Required. You remain responsible for the unpaid invoice and any later renewal charges that become due while the Membership remains open.

We may provide a short payment grace period, currently three calendar days unless a different period is stated in your account or required by law. During the grace period, we may continue to provide access while you update your payment method and pay the outstanding balance.

If payment is not resolved by the end of the grace period, active work, new request submissions, included services, and certain Membership benefits may be temporarily suspended. Account access, billing access, invoice history, profile access, and support may remain available so you can resolve the payment issue.

Temporary suspension for nonpayment does not cancel the Membership or eliminate amounts owed. Full service access may be restored after Stripe confirms payment of the outstanding invoice.

6. Immediate Termination

Immediate termination is not offered as a standard self-service account action. You may contact Nomboo support to request that the Membership end before the paid-through date.

When immediate termination is processed:

• Active work and queue access stop.
• Membership access and included benefits end.
• Unvested website ownership credits stop and may be forfeited.
• Any temporary license to use an unvested Membership website may end.

Immediate termination does not result in a prorated refund for unused days, does not waive any required upgraded-plan billing period, and does not create a refund or account credit for an upgrade proration or required upgraded-plan charge, except where required by law.

7. Membership Website Ownership and Buyout

If your Membership includes a website build or redesign, the completed website is licensed for your business use while the Membership remains active, fully paid, and in good standing.

Ownership of eligible custom website Deliverables transfers after 12 consecutive fully paid Membership months, subject to the Terms & Conditions.

If the Membership ends before ownership transfers, the temporary license may end. We may offer a buyout option in our discretion. A buyout is not guaranteed and may account for:

• The remaining ownership period.
• The website scope and work completed.
• Outstanding Membership or project amounts.
• Migration, handoff, licensing, or third-party costs.

Third-party software, fonts, stock materials, hosting, domains, subscriptions, premium licenses, and other excluded components do not transfer unless their provider permits transfer and required fees are paid.

8. Included Benefits and Perks

Depending on the plan, included benefits may include website project work or credits, a domain benefit, hosting discounts, InsightURL access, The Brand Portal discounts, consulting time, storage, service capacity, or other features described at enrollment.

Benefits are available only while the Membership is active, eligible, fully paid, and in good standing. They remain available through the paid-through date after cancellation and end when the Membership terminates.

After termination, certain third-party services may be available for separate purchase or renewal directly through PelicanHost, InsightURL, The Brand Portal, or another provider. Availability, pricing, and eligibility are determined by the applicable provider and are not guaranteed.

9. Refund Policy

If a Membership was upgraded, both the prorated upgrade charge and the charge for the required full upgraded billing period are non-refundable and do not create prorated credits, even if a downgrade or cancellation is requested before the required period ends, except where required by law.

Refund exceptions may be made only when expressly stated in writing, required by applicable law, or approved by us in our discretion. A discretionary exception in one case does not create an obligation to provide the same exception in another case.

10. Third-Party Charges and Commitments

Advertising spend, hosting, domains, software, premium plugins, subscriptions, stock assets, printing, postage, production, and similar costs may be charged by or committed to third parties.

Those amounts are separate from Membership fees unless expressly included. Once a third-party cost has been purchased, delivered, committed, or made non-cancelable, it is not refundable through Nomboo.

11. Duplicate Charges and Billing Errors

If you believe a charge was duplicated, unauthorized, or incorrectly calculated, contact us promptly with the transaction date, amount, and relevant account information.

We will review the issue and correct a confirmed billing error. This section does not create a refund right for valid recurring charges, unused time, or dissatisfaction with results.

12. Changes to This Policy

We may update this Policy to reflect changes in Memberships, billing practices, business operations, or legal requirements. The revised version will be posted on this page with a new effective date.

Material changes affecting an active paid Membership will be communicated as required by applicable law or the Terms & Conditions.
